Growing need for corporate restructuring
Liberalisation in the 90s and the recent downturn in the economy
have created new challenges for the Indian corporate sector.
Greater competition, freer imports, lack of economies of scale,
over-creation of capacities, unwanted diversifications, funds
constraints, and cost and time over-runs have become some of the
new-found areas of concern.
Little wonder, restructuring of corporate India is now a major theme. As
an option, mergers & acquisitions are emerging as the key corporate
activity. Recent changes in government regulations will make M&A even a
more viable business strategy.
Across the economy, promoters are now willing to sell assets and exit
businesses, realising this results in releasing of vast resources for
allocation to more profitable areas. The question is of finding buyers.
Buyers do exist
A large number of organisations are looking at acquisitions as a faster and better option for growth. These include:
- industrialists planning expansion or diversification, and those who
wish to acquire plants of a given product across a state or country
to obtain a wider presence;
- entrepreneurs preferring takeover of an existing project,
instead of starting from a scratch; and
- foreign companies using acquisitions as an entry route.
Present methods are inadequate
A conventional method of finding buyers is through advisors.
While the role of an advisor is critical, his reach to locate
buyers can only be small.
The other method is of releasing advertisements, which are extremely
effective in drawing immediate attention (though at a high cost).
However, the limitations of advertising are many:
- all potential buyers do not subscribe to the same newspaper in which the ad appears.
- all potential buyers do not see the ad (small ads get lost).
- sketchy details in the ad may not be enough to generate interest.
- the ad does not reach potential overseas buyers.
- the ad becomes dead the next morning; a potential buyer may not be
able to retrieve it even a few days later.
Moreover, if your ad does not elicit the requisite response, you are back to square one until you readvertise (again at a high cost).
In any case, projects do not get sold soon after a seller's decision to do so, specially in the present economic scenario. Moreover, some buyers may not be interested in your industry/ project now but may be interested at a later date.
Considering the above, don't you wish that information about your asset on sale remains actively available to a larger number of potential buyers for as long a period as is necessary?
Now....THE M&A EXCHANGE
For the first time in India, here is a data base and a website
which offers to the promoters, corporates and lenders an organised,
aggregated and pro-active platform to provide information on tap
basis to potential acquirers in India and across the world on
companies/ assets available for takeover/ strategic investment/
leasing.
Significantly, THE M&A EXCHANGE also offers a platform to such promoters,
corporates and lenders who, because of lack of a suitable medium, are
not even able to make their sell intentions known... more so for
'verge-of-default' projects.
THE M&A EXCHANGE is intended mainly as a source of Indian opportunities
for Indian investors. It is also aimed at overseas companies for whom
acquisitions hold a high appeal as is evidenced by rising foreign
takeovers of Indian companies.
